Acknowledgment

The access and use of LearnLibre.com and its affiliated resources (“Learn Libre”) offered by Montessori Laboratory, LLC (“the Company,” “We,” “Us,” also referenced when using “Our”) through various platforms, including but not limited to Our websites (collectively, “the Service” or “Services”), are governed by these terms and conditions (“Terms”). These Terms apply to anyone and everyone who visits, utilizes, or gains access to the Service in any capacity whether or not they are a registered user (“Users” or “You” also referenced when using “Your”). If You use Learn Libre or any of our Services on behalf of a school, educational organization, or any other company or entity, “You” extends to include both You and that entity.

By accessing or using the Service You acknowledge that You have read and understood these Terms and that You agree to be bound by these Terms. Your access to and use of the Service is also conditioned on Your acceptance of and compliance with Our Privacy Policy that describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Service and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using our Service.

Additional terms, guidelines or rules may apply to certain services We offer if such terms are posted within those services or if a separate agreement has been made directly between Us and You.

If You disagree with any part of these Terms then You may not access the Service.

Use of Services by Users under the age of 18 (“Minors”):

Our Services may be purchased by providers of educational services, including but not limited to schools, school districts, teachers, school administrators, homeschool groups and coops, afterschool programs, and other educational organizations (collectively referred to as “Schools”) that use our Services for educational purposes. When We provide Services to a School, We may collect or have access to personally identifiable information belonging to Minors, including, but not limited to, names and email addresses (“Student Data”). It is the sole responsibility of the School to obtain the necessary and proper consent for the use of Student Data and for the transfer of Student Data to Us for Our subsequent use. Our collection and use of Student Data is outlined in our Privacy Policy.

Minors are not permitted to purchase our Services. Minors using or accessing our Services must do so with the consent and supervision of a parent or guardian, or a School that is acting in lieu of a parent or guardian, in compliance with applicable laws and regulations.

Transition from Science Matters and Montessori Laboratory

Please be aware that LearnLibre.com is the successor to the services and goods previously offered through sciencematterskits.com (“Science Matters”) and montessorilaboratory.com (“Montessori Laboratory”). If You have previously used Our services under these names, or have entered into agreements with Science Matters or Montessori Laboratory, Your use of those goods and services are now governed by these Terms.

By continuing to use our Services, You acknowledge and agree that:

  1. Succession: LearnLibre.com is the legal successor to the services and agreements previously engaged under the domains sciencematterskits.com and montessorilaboratory.com.
  2. Governing Terms: Any agreements, terms, or conditions accepted under the former services are now superseded by the current Terms of Learn Libre, unless explicitly stated otherwise in a written agreement.
  3. Continuity of Service: Your account, along with any data, preferences, or settings migrated from Science Matters and Montessori Laboratory, will be managed according to Learn Libre’s Terms and Privacy Policy.
  4. Consent: By accessing or using Learn Libre, You consent to these Terms and any other terms specifically related to the use of our Services.

Access and Use of Our Services

Intellectual Property

Unless explicitly stated otherwise, the Website is our exclusive property, and all elements including but not limited to source code, databases, functionalities, software, website designs, audio, video, text, photographs, and graphics (collectively referred to as the “Content”), as well as the trademarks, service marks, and logos displayed on the Site (referred to as the “Marks”), are either owned or under our control, or licensed to Us. These elements are safeguarded by copyright and trademark laws, as well as various other intellectual property rights and regulations against unfair competition, spanning the United States, foreign jurisdictions, and international conventions.

The Content and Marks are presented on the Site “AS IS” solely for Your personal information and use. Unless expressly permitted in these Terms of Use, no portion of the Site, Content, or Marks may be duplicated, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, licensed, or otherwise utilized for any commercial purpose without our explicit prior written consent.

Provided You are eligible to access the website, You are granted a restricted license to utilize the Site, access the Content, and download or print sections of the Content that You have rightfully accessed, solely for Your personal, non-commercial use. We retain all rights not explicitly granted to You regarding the Site, Content, and Marks

If You provide Us any feedback, innovations, or suggestions regarding the Service (“Feedback”), You assign all rights, title and interest in that Feedback to the Company. If for any reason such assignment is ineffective, You agree to grant the Company a non-exclusive, perpetual, irrevocable, royalty free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify and exploit such Feedback without restriction.

Use of Services

These Terms grant You a limited, non-exclusive, non-transferable, revocable license to access and use our Services strictly in accordance with Our Terms (“Use License”). You are permitted to use our Services for Your personal, non-commercial use, including educational and instructional purposes within a School setting.

The Use License does not allow You to:

  • Reproduce, distribute, modify or copy any of Our materials or post them publicly online
  • Sell, resell, transfer access or make any commercial use of the Services or the Content
  • Attempting to decompile or reverse engineer any software contained on the Company website
  • Removing any copyright or other proprietary notations from the materials; or
  • Transferring the materials to another person or “mirroring” the materials on any other server.
  • Access the Content by any means other than through the Service

This license will automatically terminate if You violate any of these restrictions and may also be terminated by the Company at any time. Upon termination of Your access to these materials or termination of this license, You must destroy any downloaded materials in Your possession, whether in electronic or printed format.

Assignment of Contractual Rights and Obligations

You acknowledge and agree that Learn Libre may, at its sole discretion, freely assign and/or transfer any or all of the rights and obligations described in this Agreement in connection with providing the service to You. You may not assign any of Your rights and duties without prior consent from the Company. Despite the above provisions, this agreement will remain binding upon and benefit the parties involved and their respective successors and assigns.

Eligibility

Minors are not permitted to purchase our Services. If You are a Minor, You may only use our Services with the supervision and consent of a parent, legal guardian, or School that is acting in lieu of a parent or guardian, in compliance with applicable laws and regulations and in accordance with these Terms.

If You are accessing and using the Services on behalf of a School, You represent and warrant that You are authorized to do so and that You have obtained all necessary consents and approvals from the School to bind it to these Terms.

In instances where our Services are provided to Minors by Schools, Schools must affirm that they have either obtained verifiable parental consent or are authorized under the law to provide such consent on behalf of parents/guardians to allow said Minors to use our Service and to collect Student Data and share Student Data with Us for Our Use.

Schools that share Student Data with Us as part of their utilization of our Services represent that they have the authority to do so and have obtained all necessary consents and approvals, including compliance with the U.S. Children’s Online Privacy Protection Act (“COPPA”), which mandates verifiable parental consent for collecting personal information from children under the age of 13.

We recommend that Schools provide appropriate disclosures to Minors and their parent(s)/guardian(s) along with copies of our Terms and Privacy Policy, as We are not responsible for Your failure to obtain proper and necessary consent to share Student Data with Us or to permit a Minor to use our Services.

Prohibited Conduct

As a User of our Services, You are required to respect the rights and dignity of others. The following conducts are strictly prohibited and may result in the suspension or termination of Your access to the Services:

  • Interference: You may not interfere with the security or the normal operations of the Service, our systems, or those of other users. This includes but is not limited to unauthorized access (hacking), distribution of malicious software, or use of the Service for unintended purposes.
  • Abusive Content: You must not post or share any content that is abusive, threatening, defamatory, or which promotes hate or violence against individuals or groups based on race, ethnicity, religion, gender, sexual preference, disability, or any other characteristic. This includes bullying and harassment of any kind.
  • Misrepresentation: Publishing or sharing information that is false, misleading, or deceptive is prohibited. This includes impersonating another person or entity, misrepresenting Your affiliation with a person or entity, or spreading fake news.
  • Intellectual Property Violations: You must respect intellectual property rights. Do not copy, distribute, or create derivative works from content that belongs to someone else without their explicit permission, including copyrighted texts, images, music, and other protected works.
  • Malware: Distributing content that contains viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another’s property or our Services is strictly forbidden.
  • Illegal Activities: You may not use our Services for any unlawful purpose, or in any manner that violates applicable local, state, national, or international law.
  • Breach of Terms: Engaging in any activity that breaches these Terms, including attempting to circumvent any restrictions on access to or availability of the Services or Content.

Changes to Our Services

We reserve the right to modify, suspend, or discontinue, temporarily or permanently, any aspect of the Services or any service to which it connects, with or without notice and without liability to You. This may include the removal of features or functionalities or the addition of new features or functionalities. We may also update the Services to improve performance, enhance functionality, reflect changes to the operating system or address security issues. If You object to any such changes, Your sole recourse shall be to cease using our Services.

Registration and Account Information

Access to Services

While access to some parts of the Service do not require an account, such as general browsing of the website, some parts of the Service require Users to register for an account (“Account”). When setting up Your Account, You affirm that all information provided is accurate and complete. You commit to updating Your information as needed or requested. Your Account is intended for Your personal use only, and You may not grant authorization for others to use Your Account for any reason.

You also accept sole responsibility for any activities carried out under Your Account or password. If You become aware of any security breaches or unauthorized usage of Your Account, or if You suspect any violation of these Terms by others, You agree to promptly notify Us. You acknowledge that We bear no liability for any losses, damages, liabilities, or expenses incurred as a result of unauthorized use of Your Account, and You agree to indemnify and hold Us harmless from any such unauthorized use. We reserve the right to establish Accounts for purposes of quality control and administration, which may be publicly visible.

Account Types

We provide a variety of account types depending on the User and the way their account was created. The account types referenced in these Terms may not represent all of the account types that We have made available in the past or will make available in the future. We reserve the right to allow continued use, solely at Our discretion, of account types that are no longer available for purchase or creation by Users. We also reserve the right to discontinue allowed use of account types that are no longer available for purchase or creation by Users.

User Accounts

A “User Account” is an account attached to a unique User. An email address is required to create a User Account.

User Accounts are associated with one individual and can be accessed on one device at a time. Sharing account credentials with other individuals or accessing the Service from multiple devices concurrently constitutes a breach of these Terms, and may result in immediate termination of Your account on our Service.

Individual Account

An “Individual Account” provides access to Membership Content for one User. An Individual Account is a User Account that may be created through the purchase of a “Homeschool Membership”. Minors may not create Individual Accounts.

Group Account

A “Group Account” provides Membership Content access to multiple Users, and this collection of Users is referred to as a “Group”. A Group Account is an account that may be created through the purchase of a “Group Membership” or a “School Membership”. The purchaser of a Group Account is automatically designated as a “Group Leader,” which is an individual who has privileges to manage User Accounts within their Group. Group Leader privileges include:

  • Creating and adding User Accounts
  • Removing Users
  • Creating, adding, and designating Group Leaders
  • Removing Group Leaders
  • Resetting passwords
  • Tracking User progress and generating progress reports
  • Accessing Personal Data (defined in Our Privacy Policy and including Student Data) that belongs to Users in their Group

Group Accounts created by or on behalf of a School are subject to all requirements outlined in these Terms, Our Privacy Policy, and applicable laws when collecting Student Data, sharing Student Data with Us, and creating User accounts for Minors under a Group Account. Minors may not create Group Accounts or be designated as Group Leaders.

Legacy Accounts

“Legacy Accounts” are any accounts that were created by purchasing a membership that is no longer available, or otherwise acquiring an account in a way that is no longer available, through our Service. Legacy accounts may be subject to Changes to our Services outlined in these Terms. Continued use of Legacy Accounts is permitted at Our sole discretion and may be revoked at Our discretion without notice. Use of Legacy Accounts will be automatically revoked if the associated membership lapses due to inaccurate payment information, missed payment, or cancellation.

Legacy Accounts include “Classroom Accounts” that are a type of Group Account as designated in these Terms.

Legacy Account Holders may transition to new service options by contacting Us at info@learnlibre.com.

End of Membership

When the term of a membership ends and the membership is not renewed, the account(s) associated with that membership will no longer have access to Membership Content. However, the User will still have access to the account, and We may permit continued access to Membership Content at Our sole discretion.

We reserve the right to delete or deactivate accounts that are not associated with an active membership due to inactivity, or for any other reason, at our discretion and without notice.

Payments, Subscriptions, Renewals, Cancellations and Refunds

Purchases

If You make any purchases with Us, You may be asked to supply certain information relevant to Your purchase including, without limitation, Your name, Your email, Your phone number, Your credit card number, the expiration date of Your credit card, and Your billing address.

You represent and warrant that: (i) You have the legal right to use any credit or debit card(s) or other payment method(s) in connection with any purchase; and that (ii) the information You supply to Us is true, correct and complete. By submitting such information, You grant Us the right to provide the information to payment processing third parties for purposes of facilitating the completion of Your purchase.

We reserve the right to refuse or cancel Your purchase if fraud or an unauthorized or illegal transaction is suspected.

Credit/Debit Card Payments

Any purchase made for our Services via a credit/debit card are subject to validation checks and authorization by Your card issuer. If We do not receive the required authorization, We will not be liable for any delay or non-delivery of Your order.

We may use a third-party payment processor to accept payment (such as Stripe, for example). We are not responsible for any errors made by any third-party payment processor.

Check Payments

Certain Services may be eligible for payment by check, as specifically allowed by Us. Eligible Services for check payment may include, but are not limited to, School Memberships and transactions processed through an educational organization’s purchase order system.

Payment by check is required to be made no later than 30 days from the date of Our invoice, unless a different term has been mutually agreed upon in writing. In the event of non-payment within the 30-day period, We retain the authority to revoke access to the requested Services and to initiate measures to collect the due amount. Furthermore, past the 30-day deadline, We may impose a late payment charge of 1.5% per month or the highest rate permissible by law, in addition to any reasonable legal fees incurred in the pursuit of overdue payments.

Subscriptions

The Service or some parts of the Service are available only with a paid membership, which may require the purchase of a subscription. You will be billed on a recurring and periodic basis (such as monthly or annually), depending on the type of subscription plan You select when purchasing Your membership.

You shall provide the Company with accurate and complete billing information including where applicable: full name, address, state, zip code, telephone number, and a valid payment method information.

Automatic Renewals

Upon the expiration of each subscription term, Your subscription will automatically renew under the same conditions unless You opt to cancel it following the procedures outlined in these Terms or if the Company elects to terminate it. By subscribing, You consent to having the subscription fee for the subsequent term billed to Your registered payment method unless You cancel the subscription before the billing cycle commences. We will process the renewal fee within a window of 24 hours before and after the scheduled renewal date. Should Your payment method be invalid or if the transaction fails, We may temporarily restrict Your access to the Membership Content and Services until We receive the outstanding payment.

You will be given reasonable notice about any changes to the fees of Your subscription. In case of a price increase, You will have the opportunity to refuse the changes before they take effect. Refusal of fee changes will result in the termination of Your membership at the end of its current term. Your continued use of the Service after the subscription fee change comes into effect constitutes Your agreement to pay the modified subscription fee amount.

Cancellations

Paid memberships can only be canceled and refunded within 14 days of opening a paid account. Paid memberships purchased on a subscription basis can only be canceled and refunded within 14 days of opening a paid subscription account or a paid subscription account’s renewal date.

You must contact info@learnlibre.com to request a refund.

Cancelling Renewals

Renewals for paid subscription memberships can be turned off at any time by doing the following:

  1. Sign in to your account
  2. Go to the “My account” page
  3. Click on the “Subscriptions” tab
  4. If it is not already displayed, choose the subscription you would like to cancel
  5. Choose “Cancel subscription” or “Cancel all subscriptions for this group”

Canceling Your subscription stops all future renewals from being charged, however, previous charges before the date of cancellation will not be refunded. You will maintain access to the Membership Content and other Services provided as part of Your membership after You cancel Your subscription and until the end of Your membership term.

Foundations Science Kit

All purchases of the “Montessori Laboratory Foundations Science Kit” are final and cannot be canceled or returned. This product was distributed by Montessori Laboratory and is no longer available for purchase through Learn Libre unless already specified in a separate contractual agreement with Us.

Price Changes

We reserve the right to make any changes to the price of our Services including, but not limited to, our memberships and membership subscriptions. These changes can be made at Our sole discretion and without advanced notice. Any price changes will go into effect immediately upon posting them through Learn Libre. In case of a price increase that affects Your active subscription, You will have the opportunity to refuse the changes.

Promotions

Contests, sweepstakes, or other promotions (collectively, “Promotions”) made available through the Service may be governed by rules that are separate from these Terms.

If You participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms, the Promotion rules will apply.

Promotions may be terminated, ended, or deemed invalid at Our discretion at any time without notice.

Ambassador Program

By participating in our marketing program wherein individuals can earn commission by promoting our services (“Ambassador Program”), You agree to comply with the terms and conditions outlined below:

  1. As an ambassador, You may have the opportunity to promote our Services and share exclusive discounts with Your community.
  2. Commissions will be earned for successful referrals made through Your unique referral link or code provided to You by Us. The specific commission structure will be communicated to You upon enrollment in the Ambassador Program.
  3. Commissions will be paid out according to the designated payment schedule and method specified in the Ambassador Program.
  4. You are responsible for accurately representing our Services and adhering to ethical marketing practices. Misleading or deceptive promotion is strictly prohibited.
  5. We reserve the right to modify or terminate the Ambassador Program at any time, for any reason, without prior notice.
  6. By participating in the Ambassador Program, You grant Us the right to use Your name, likeness, and promotional materials for marketing and promotional purposes related to the Ambassador Program.
  7. Any violation of the terms and conditions of the Ambassador Program may result in immediate termination from the Ambassador Program and forfeiture of any pending commissions.

Minors are not permitted to participate in the Ambassador Program.

Our Service may contain links to third-party websites or services that are not owned or controlled by Us.

We has no control over, and assume no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that We shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such websites or services.

We strongly advise You to read the terms and conditions and privacy policies of any third-party websites or services that You visit.

Termination

We may terminate or suspend Your account and Your permission to use our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation, if You breach these Terms.

You may choose to terminate Your account at any time. If You wish to terminate Your Account, You may email Us at info@learnlibre.com.

Upon termination, Your right to use the Service will cease immediately unless otherwise stated by Us.

Indemnity

To the fullest extent permitted by applicable law, You agree to indemnify, defend, and hold harmless the Company, as well as our past, present, and future employees, officers, directors, contractors, consultants, equity holders, suppliers, vendors, service providers, parent companies, subsidiaries, affiliates, agents, representatives, predecessors, successors, and assigns (individually and collectively referred to as the the Company Parties”), from and against all actual or alleged claims, damages, awards, judgments, losses, liabilities, obligations, penalties, interest, fees, expenses (including, without limitation, attorneys’ fees and expenses), and costs (including, without limitation, court costs, costs of settlement, and costs of pursuing indemnification and insurance), of every kind and nature whatsoever, whether known or unknown, foreseen or unforeseen, matured or unmatured, or suspected or unsuspected, in law or equity, whether in tort, contract, or otherwise (collectively referred to as “Claims”). These Claims include, but are not limited to, damages to property or personal injury, that arise from or are related to:

(a) Your use or misuse of the Sites, Content, or Services,

(b) Any Feedback You provide,

(c) Your violation of these Terms,

(d) Your violation of the rights of another, (e) Any third party’s use or misuse of the Site or Services provided to You, and

(f) Any User Content You create, post, share, or store on or through the Site or our pages or feeds on third-party social media platforms.

You agree to promptly notify the Company of any third-party Claims and cooperate with the the Company Parties in defending such Claims. Furthermore, You agree that the the Company Parties shall have control of the defense or settlement of any third-party Claims. This indemnity is in addition to, and not in lieu of, any other indemnities set forth in a written agreement between You and the Company.

Disclaimers

“AS IS” and “AS AVAILABLE”

The Service and any products purchased thereon is provided to You “AS IS” and “AS AVAILABLE” and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service and any products purchased thereon, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that the Service and any products purchased thereon will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.

Without limiting the foregoing, neither the Company nor any of the Company’s providers makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.

Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.

Use of Materials is at Your Own Risk

We may suggest the use of certain supplies and materials that may be procured by You or supplied by Us (“Materials”). You are solely responsible for the use of any Materials, and You acknowledge this responsibility by using them. You agree that We bear no liability for any harm or damages You may incur, including but not limited to personal injury or property damage, resulting from Your use of any Materials. You also agree that You have read, understand, and comply with the following non-exhaustive list of disclaimers and precautions for use of Materials:

  1. Adult supervision is required for use of Materials.
  2. Read and understand all instructions that suggest the use of Materials before using the Materials.
  3. Read and keep all instructions and disclaimers that come with Materials.
  4. Dress appropriately for any use of Materials, such as during an experiment where skin should be covered, and apron and eye protection should be worn by anyone present.
  5. Select a safe work area – this should be an area that is ventilated, ok with spills, and away from younger children and pets.
  6. Know what to do if there is a spill or accident – come up with a plan before use of Materials begins.
  7. Have a first aid kit available and near.
  8. Carefully follow all instructions involving the suggested use of Materials.
  9. Do not eat or drink while using Materials.
  10. NEVER taste or smell Materials unless explicitly directed in the Service instructions. Never put any Materials on or near the face or skin unless explicitly directed in the Service instructions.
  11. Thoroughly clean up when You are done using any Materials. Wash any applicable Materials with warm soap and water and properly dispose of any Materials as necessary.
  12. Properly store all Materials out of reach of younger children and pets.
  13. Wash hands when done using Materials and during breaks.

Limitation of Liability

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of these Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or the purchase price of the applicable product, as applicable, or 100 USD if You haven’t purchased anything through the Service.

While We tries to ensure that the information of the Service is correct, We do not warrant its completeness or accuracy. The Service content is intended for information purposes and does not constitute advice for the matters it discusses. Therefore, please do not use the Service unless You agree that any action You take in reliance on the information here given is entirely at Your own risk. The Company expressly disclaims any and all warranties, express or implied, as to the accuracy or reliability of any information obtained from the Service or its contents, any information or products accessible or purchased on the Service, and You agree to use the Service and its contents, and any information or products accessible or purchased thereon, solely at Your own risk.

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

Exclusions
